Terms of sale

Version of 2026-10-15

1. Who we are

The Via Terra Scorecard is sold by VIA TERRA, Société par actions simplifiée (SAS) with a share capital of EUR 5,000, registered at 105 646 798 R.C.S. Paris, VAT number FR84105646798, whose registered office is at 59 rue de Courcelles, 75008 Paris, France ("Via Terra", "we"). Contact: contact@via-terra.eu.

2. Scope

These terms apply to every order of a site assessment (T1, T2 or T3) placed on the Via Terra Scorecard. By placing an order you accept them in the version shown at the time of the order. They prevail over any purchasing terms of the client unless we agree otherwise in writing.

The Scorecard is for businesses only. By placing an order you confirm that you are acting for the purposes of your trade or profession, on behalf of a company whose name and billing details you provide. We do not sell to consumers, so the provisions of the French Consumer Code specific to them do not apply. We may cancel and refund an order placed by an individual.

We take orders for sites in Europe.

We may decline an order when the data needed to assess the site cannot be checked: the country is not covered, public registers are not available, or the information supplied does not let us locate or describe the site. We tell you within two working days of the order and refund the price in full. Declining an order gives no right to compensation beyond the refund.

3. What you buy

Each assessment covers one site and scores it on the seven domains of the TerraNova method (grid, permitting, site, fibre, cooling and heat, market, ESG). The three levels are:

T1 Self-Service Scorecard: 490 € excluding VAT per site. Deliverable: Excel scorecard.

T2 Verified Assessment: 1 300 € excluding VAT per site. Deliverable: Word report.

T3 Advisory Memorandum: 3 500 € excluding VAT per site. Deliverable: Word memorandum and filled financial model (Excel).

An assessment is a pre-screening. It is built from the information and documents you provide, measurements from geospatial data, and public sources, with the help of artificial intelligence. No revision of the report is included in the price. It is not a technical, engineering, legal, tax or financial study, and it is not investment advice. Figures marked as indicative estimates are market benchmarks, not projections. It does not replace the due diligence a transaction requires.

3 bis. Beta version

The Scorecard is in beta. Reports are produced automatically and each report is checked by Via Terra before it is released. The check confirms that the report is complete and consistent; it is not a new investigation of the site.

Coverage, data sources and report contents may change during the beta. We welcome your comments, which help us improve the service, but they do not give a right to a new version of a delivered report.

4. Your information

You confirm that you are entitled to share the documents and information you upload and that they are, to your knowledge, accurate. The quality of an assessment depends on them: each report states the share of data confirmed by documents and marks what could not be established.

You must give the site a name and show where it is on the map, in the form the order form asks for. A T3 also requires the answers asked at the order (land control, power date, rent basis, return target, construction cost and debt terms, or our standard assumptions where you choose them).

5. Prices and payment

Prices are in euros excluding VAT. VAT is added at the rate applicable to your billing details and shown before you pay. Prices may change; the price that applies is the one shown when you place the order.

Payment is due in full when the order is placed, by the means offered at checkout. We issue the invoice at payment. The analysis starts once payment is confirmed. We never see or store your card number.

Late payment bears interest at three times the French legal interest rate and a fixed recovery fee of EUR 40 (Article L441-10 of the French Commercial Code).

6. Delivery

We aim to deliver within 48 working hours of payment (an order placed on a Friday or before a public holiday is delivered the next working day), after review by our team, by email and in your account. The T3 is delivered as the Word memorandum together with the filled financial model (Excel); one is never sent without the other. The delivery time is a target, not a guaranteed deadline: a report that does not pass our checks is corrected or run again before it is sent.

7. Refunds

If we decline your order (section 2), we refund the price in full.

If we cannot deliver an assessment because of a failure on our side, we refund the price in full. A low score, a site that turns out to be unsuitable, or findings you disagree with are not grounds for a refund: they are the service working. If you believe a report contains a factual error, write to us within 30 days of delivery and we will review it and, where we agree, correct and reissue it at no charge.

8. Use of the reports

Our method, scoring weights, templates and software remain our property. Once paid, you may use the report for your own business purposes and share it with your advisers, financiers, investment committee and counterparties in the transaction concerned. You may not resell it or present it as your own work, and you may not remove the Via Terra attribution or the limitations it contains.

9. Anonymised market context

To give every client a market context, we may use results from sites we have assessed, in anonymised form only: capacity in bands rather than exact figures, region rather than town, no dates, and never for a market with fewer than three sites. No client, site name, address or document is ever disclosed.

10. Confidentiality and personal data

We keep your documents and reports confidential and use them only to deliver and support the service. They are never used to train an AI model. Personal data is handled as described in our privacy policy.

11. Liability

We perform the service with care and according to our method. Our liability for a given order is limited to the price paid for it, except in case of gross negligence, wilful misconduct, or where the law does not allow a limit. We are not liable for indirect losses, such as lost profit, a lost opportunity or a transaction not completed, nor for decisions taken on the basis of a report, which remain yours.

12. Force majeure and changes

Neither party is liable for a delay caused by an event beyond its reasonable control. We may update these terms; the version that applies to an order is the one in force when it was placed.

13. Law, disputes and language

These terms are governed by French law. Before any legal action, we will try to settle a disagreement amicably. Failing that, disputes are submitted to the competent courts of Paris.

These terms exist in French and English. If they differ, the French version prevails.
